Job Purpose
The job holder:
- Develop, adjust and supervise the implementation of strategies, policies, procedures and guidelines on governance in the bank.
- Build and adjust the structure, organization, functions, tasks, coordination among units in the bank in accordance with the strategy and business model
Key Accountabilities (1)
Build and govern Bankwide and Division’s corporate structure
- Build, update and manage Bankwide organizational structure
- Consult and facilitate Divisions to build RACI model between Divisions and bankwide
- Organize, support, facilitate, consult and monitor the establishment/amendment of Division/unit’s structure, ensure the translation from business model into structure and align with the Bank’s strategy
- Build structure và operating model for the newly established Division: support, guide, provide consultation for the establishment or amendment of Division’s structure và operating model, ensure that they i) align with Bank’s strategy và business model; ii) align with the Bank Corporate governance model; iii) capture new business opportunities; iv) optimize operating efficiency
- Control content and consult on process to complete org. structure establishment/ amendment
Key Accountabilities (2)
Build và govern Corporate governance model
- Build, update, manage and monitor corporate governance model (Board và Management committee) and implementation plan as alignment with the Bank’s strategy
- Propose và support in establishment of Management committees (under CEO) and major amendment of Board committees (under BOD) at request of competent authorities, include: structure, composition, operating mechanism and outputs
Key Accountabilities (3)
Consult and research leading practices on corporate structure và governance
- Research, build, update design methodology and complete organizational structuring, applied for Divisions in the Bank
- Research, build, update methodology, process and design principles and restructuring of Corporate governance
- Propose build/updates the regulations and process on Division/unit structure establishment/amendment
