Senior Legal Executive

Position Overview
We are looking for a Senior Legal Specialist with strong English skills and at least 5 years of experience from law firms, consulting companies, or large corporations. The role requires solid in- house legal experience, strong capability in contract review, investment legal procedures, and project legal support. Knowledge of intellectual property is considered a plus. Candidates with a Judicial Academy certificate are strongly preferred

Key Responsibilities
Contract Management & Compliance

Ensure all contracts comply with Vietnamese laws and internal risk- control policies.
Verify vendor contracts, purchasing contracts, and cross- border transaction documents.
Review and draft commercial agreements: service, purchasing, construction, outsourcing, agency, manufacturing agreements, etc.

Corporate & Investment Legal Affairs

Manage regulatory procedures: IRC, ERC, business line updates, capital adjustments, and corporate changes.
Prepare, review, and manage legal documents for international investment projects.
Handle procedures for establishing overseas subsidiaries/companies (US, Thailand, Indonesia, Philippines, etc.).

Factory & Environmental Legal Support

Work with government authorities, legal consultants, environmental agencies, and contractors.
Review legal compliance of factory projects: land, construction permits, fire safety, environment (EIA/ĐTM), and operational licenses.

Internal Legal Advisory & Dispute Handling

Lead or coordinate internal dispute resolution, internal investigations, complaints, and conflict management.
Provide legal advice to internal departments: HR, Finance, Procurement, Sales, R&D, Production, etc.
Draft, review, and update internal policies, procedures, and legal templates.

Legal Knowledge Management & Reporting

Monitor regulatory changes related to enterprise, investment, construction, environment, commercial, and tax laws.
Prepare periodical legal reports for management and the Board of Directors.
Provide legal training or compliance sessions for employees when required.

Requirements

Expertise in: Contract drafting & review, Corporate/in- house legal affairs, Investment legal procedures, Factory/project legal compliance (land – construction – environment – fire safety)
Bachelor of Law; Judicial Academy certificate preferred.
Experience in handling internal disputes
Advanced English (reading, drafting legal documents, communication).
5- 10 years of experience at law firms, consulting companies, or large corporations.

Nice- to- have

Experience supporting commercial dispute resolution or litigation
Experience or knowledge in intellectual property (trademark registration & protection).
