Job Description
The Legal Counsel will be responsible for overseeing and ensuring all legal affairs of the company, focusing on corporate legal compliance, risk assessment, and legal advisory. Main responsibilities include:
Other Tasks: Handle additional legal assignments as required by the Board of Directors.
Reporting & Investor Relations: Prepare regular legal and compliance reports for investors; act as the primary legal contact point for investor communications.
Legal Advisory: Provide legal advice to the Board of Directors and departments on operations, business activities, investment, licensing, and other regulatory matters.
Capital Raising: Support the CEO in preparing and reviewing legal documents and due diligence reports as required by foreign investors; handle legal procedures related to fundraising and foreign investment (e.g. registration of foreign loans with the State Bank of Vietnam, capital increase, etc.).
Corporate Legal Management: Assess legal risks, propose solutions, and ensure regulatory compliance in business operations.
Intellectual Property: Collaborate with engineers and external partners to prepare, file, and protect intellectual property rights (patents, designs, trademarks).
Contracts & Transactions: Draft, review, and negotiate contracts with suppliers, partners, clients, employees, and all internal agreements, ensuring compliance and minimizing legal risks.
Internal Training & Support: Provide training, guidance, and raise legal awareness across the company.
