Job Description
Board Meeting Support:
• Prepare and distribute meeting agendas, board materials, and minutes.
• Attend board meetings to take minutes and ensure accurate documentation.
• Assist in scheduling and organizing board meetings, ensuring all logistical details are handled.
Compliance and Regulatory Tasks:
• Assist in filing necessary documents with regulatory bodies (e.g., business licenses, statutory filings, etc.).
• Ensure the company adheres to all corporate governance policies, local laws, and industry regulations.
• Keep track of compliance deadlines and ensure timely submission of required documents.
Corporate Documentation:
• Prepare and file legal documents such as resolutions, agreements, and corporate disclosures.
• Keep and update the company’s corporate register, including shareholder records and official filings.
• Maintain accurate records of board meetings, resolutions, and other corporate documentation.
Shareholder and Investor Relations:
• Assist in preparing investor reports, presentations, and disclosures.
• Assist in organizing annual general meetings (AGMs) and other shareholder meetings.
• Handle communications with shareholders, investors, and external stakeholders, as needed.
Secretarial Support:
• Provide administrative support to the Corporate Secretary, including managing schedules, organizing documents, and handling correspondence.
• Ensure that all company policies, procedures, and bylaws are followed.
General Office Support:
• Maintain a filing system for corporate records and ensure all documentation is organized and easily accessible.
• Perform research and provide assistance with special projects as required by the corporate secretary
Job Requirements:
• Strong knowledge of corporate compliance and regulatory requirements.
• Excellent organizational, written, and verbal communication skills.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
• Prior experience in corporate governance or a legal/secretarial role is a plus.
• A bachelor&039;s degree in business administration, law, or a related field.
• Attention to detail and ability to handle confidential information.
