JOB PURPOSE:
This individual will form part of the Southeast Asia, Australia and New Zealand contracting operations, and provide contract support within the cluster to the Procurement team. He/she will be primary responsible for E2E contract management phases of Intake, Drafting, Review, Legal negotiations and Finalization. He/she will be coordinating with the Sourcing, Legal, and other Compliance functional teams to ensure all contents of the contract are accurate, complete and in compliance with all applicable laws and regulations.
PRINCIPAL RESPONSIBILITIES
Align and provide advisory to BU/GS Sourcing on the type of agreement to be used for the request.
Facilitate meetings required to finalize the agreement
Work with the Legal Department(s) in drafting and reviewing the agreements, including facilitating communications and negotiations with internal stakeholders and external suppliers.
Be the main contact person for the business in contract negotiations where Procurement is determined to be the sponsor of the agreement.
Manage overall contract sign off and acknowledgement with suppliers and authorized J&J personnel in signature and/or contract seal/stamp.
Ensure contract management and storage through our central repository and processing platforms, eICD and Icertis.
Manage contract approvals through the manual process/form flow or via e- tools such as fish flow, e- process, and Request Navigator with authorized J&J personnel.
Contract Lifecycle Management
Incorporate relevant compliance and company exhibits and attachments to the agreements based on the nature of the engagement.
Review contract terms and conditions to verify that they follow company policies and all applicable regulations
Support reporting of contracting status for internal tracking and monitoring on Service Level Agreement (SLAs) adherence.
Work with BU/GS Sourcing to incorporate relevant commercial terms into the specific agreement templates.
Support Global Services (GS) / Business Unit (BU) Sourcing with agreement requests.
Agreement Drafting and Legal Review
Education:
Degree or equivalent; Law Degree or Degree with certification in contract management would be preferred.
Job Requirements:
Previous work experience as a Paralegal or Contract Analyst OR Procurement experience with contracting expertise
Ability to organize work, manage time and adhere to schedules
Demonstrates basic computer skills
Ability to challenge the status quo and influence decisions
Strong business acumen
Experience in coordinating and executing agreements.
Problem solving skills to deal with difficult agreements/clauses
Knowledge on common compliance requirements related to BPRA, Privacy, Pharmacovigilance, Intellectual Property, Business Quality
Knowledge on the different types of agreements (MSA, SSA, SOW etc) and when they are used
Understanding of legal terms and common clauses in agreements
At least 3 – 5 years’ experience
Effective written and verbal communication skills
