Legal Manager

Perform other duties as assigned by Legal Manager/ Legal Director
Provide update on/summary of changes in laws and regulations which are relevant to the company business;
Ensure all corporate documents i.e. investment licenses, branch licenses, share certificates, etc. are renewed, upgraded on time, valid at all time and in line with constantly changing laws and business models of the Company;
Negotiate and draft agreements including purchase and sale agreement, booking agreement, long term lease agreement, construction/ design/ consultancy contracts, marketing services, etc. and monitor execution of these agreements;
Attend the meetings with residents, customers to solve their relevant issues (when needed).
Draft and review application dossiers to update the incorporation documents of the project companies;
Conduct due diligence of target companies and provide legal advice, structure of M&A deals;
Consult issues arising in the sale and post- sale (such as transfer of apartment sale and purchase agreement, request/concern/complaint of customers from time to time).
Prepare supporting documents (such as deposit contract, apartment sale and purchase agreement) for the sales launch of a residential project;
Draft and review transactional documents i.e. NDA, MOU, SPA, SHA, etc.;
Assist the Manager to manage the Legal Team / Manage Legal Team
Research and update legal knowledge, draft/new laws and regulations on corporate, M&A, real estate, housing;
Translate documents and review translation works;
Handle regulatory issues including governmental filings, licenses, approvals and registration of the company; Liaising with relevant authorities as needed.
Handle claims/disputes settlement, pre- litigation negotiation and mediation during legal proceedings and monitor litigation or arbitration;

• Owned the lawyer- practicing certificate is an advantage.
• Having experience in working with authorities, creating and remaining relationship with authorities;
• Self- starter, self- motivated, responsible, trustworthy, and hard working;
• Ability to work both independently and as a team member under high pressure;
• Good understanding of real estate projects, foreign direct investments, mergers and acquisition, corporate and commercial transactions and direct involvement in handling sales contracts for residential projects;
• Minimum 10 years&039; experience in corporate/real estate practice at reputable law firms or real estate companies.
• Solid understanding of Investment Law, Enterprise Law, Real Estate Law, Housing Law, Construction Law and other relevant regulations;
• Good research, analytical skills, and logical thinking;
• Good oral and written communication skills in English;
