As a
Legal Manager
, you will play a key role in overseeing the legal and compliance functions to support SmartOSC’s business activities across multiple markets. Your responsibilities include:
Legal Compliance & Risk Management:
Develop and implement internal policies, procedures, and compliance programs to align with Vietnamese and international laws.
Liaise with regulatory authorities, ensuring timely submission of reports and legal documents
Ensure compliance with corporate governance, labor laws, data privacy regulations, intellectual property (IP) rights, and e- commerce laws.
Identify potential legal risks in business operations and provide strategic recommendations to mitigate them.
Contract & Transaction Management
Draft, review, negotiate, and manage various legal agreements, including:
NDAs and data protection agreements
Partnership and licensing agreements
Commercial contracts with clients and vendors
Service agreements
Employment contracts and policies
Maintain a contract repository and ensure consistency in legal documentation.
Collaborate with internal stakeholders (Sales, HR, Finance, and IT teams) to align contract terms with business objectives.
Dispute Resolution & Litigation
Work with external law firms on legal proceedings, ensuring SmartOSC&039;s best interests are protected.
Manage disputes, claims, and potential litigation involving the company.
Support internal teams in resolving conflicts with clients, vendors, or employees.
Legal Research & Advisory
Stay updated on regulatory changes affecting the company’s operations across multiple markets (Vietnam, APAC, US, EU).
Conduct legal training and awareness sessions for employees.
Provide legal opinions and advisory services to senior management on new business models, cross- border transactions, and investment strategies.
Intellectual Property & Data Protection
Ensure legal protection of trademarks, copyrights, patents, and proprietary technologies.
Oversee compliance with data protection regulations (e.g., GDPR, PDPA, CCPA), ensuring security and lawful processing of personal data.
Team Leadership & Management
Lead and mentor a team of 5 legal professionals, including training, performance evaluation, and career development.
Assign tasks, monitor workload, and ensure the team meets deadlines on contract reviews, compliance matters, and legal advisory.
