Aim of the Position
To provide legal advice and assist all departments/project companies of CapitaLand Vietnam in all legal and compliance works, including drafting/reviewing agreements, contracts, policies and related forms to support daily business activities of the companies and to mitigate legal risks arisen thereto.
Key Areas of the Responsibilities:
- To draft, review and revise all legal documents and the agreements, contents of agreements to ensure compliance with the applicable laws, Group’s policies and principles and the business purposes.
- To provide legal assistance in the companies’ daily operation and real- estate projects implementation, including but not limit to providing legal advice to the HODs, board members of project companies and getting involved in negotiations with external parties.
- Legal documents will be included but not limit to:
• Finance and Banking related: all types of loan agreements, foreign loan registration, bond insurance capital mobilization structure, cooperation with banks for home loan granted to buyers, tripartite agreements (between banks, developer and buyers), bank guarantees and all other legal matters relating to corporate finance.
• For other areas: taxation, service agreements, IP related matters, safety related matters
• Business and development: joint venture agreements, incorporation, licensing, investment and divestment structures, capital contribution, dividend payment and all other legal matters relating to corporate governance.
• Project construction: Main contracts (FIDIC and particular conditions thereto), Sub- contracts (FIDIC and particular conditions thereto) and bidding procedure relating to project construction
• Real estate business and property management: All types of contracts and legal issues relating to/arising from the property sales and purchase, and daily operation and management of the properties.
• Sales and Marketing: capital contribution contracts, sales and purchase contracts, office lease agreements, resident lease agreements and all other legal matters relating to sales and marketing
- To follow and implement the Environmental Management System (ISO 14001) and the Environment, Health and Safety of the Company.
- To monitor the matter of legal compliance and update the key changes in the local laws.
- To review progress of outstanding litigation and liaise with and manage external lawyers.
- To review the translation of documents and/or perform translation works as needed.
- To prepare and submit documents to the relevant governmental authorities in accordance with the procedures as set out by prevailing laws and liaise with the relevant authorities for approvals or granting permits/certificates if required.
- To manage relevant legal teams as delegated by Head of Legal.
- To be involved in the assessment and engagement of external lawyers, and manage legal outsourcing engagements, including proposing and control legal budget for the purpose.
