Corporate Legal Affairs:
Provide legal counsel to the Board of Management on matters related to investment activities, corporate governance, capital structure, and corporate restructuring in compliance with current laws and regulations.
Handle and oversee the full process of business registration, amendments to enterprise registration, sub- licenses, changes in business lines, headquarters, charter capital, legal representatives, etc.
Draft, review, and manage internal legal documents including company charter, internal regulations, and operational procedures to ensure legal compliance.
Litigation & Dispute Resolution:
Develop legal strategies, prepare litigation dossiers, and respond to claims in complex or high- stakes disputes.
Represent the company in negotiations, mediations, and legal proceedings before courts or arbitration bodies.
Directly handle civil, commercial, labor, and investment- related disputes; collaborate with external legal counsel and government authorities to protect the company’s interests.
M&A and International Transactions:
Analyze legal clauses and potential risks, and ensure contracts are coherent, complete, and legally compliant.
Participate in legal due diligence, transaction structuring, negotiation, and drafting of share/capital transfer agreements, investment agreements for M&A deals, including those involving foreign partners.
Advise on deal structures and develop legal plans for M&A transactions: share/capital transfer, merger, consolidation, demerger, or joint ventures.
Coordinate with stakeholders (international lawyers, auditors, banks, investors) and relevant government agencies to obtain necessary approvals and register transactions.
Propose necessary revisions or additions to protect the company’s interests, assess unfavorable or vague terms, potential causes of disputes, and benchmark against legal standards and best practices.
Draft, review, and negotiate transaction documents such as Share Purchase Agreements (SPA), Investment Agreements, Memoranda of Understanding (MOU), Shareholders’ Agreements (SHA), and Joint Venture Agreements (JVA).
Manage post- M&A legal risks and support integration processes.
Project Legal Affairs:
Perform other tasks as assigned by the Board of Management.
Review project legal documentation: land use rights, construction permits, environmental compliance, investment licenses, planning approvals, etc.
Conduct legal due diligence on investment projects (real estate, energy, manufacturing, services, etc.) from preparation to operational phases.
Liaise with government agencies, consultants, and partners to resolve legal obstacles during project implementation.
