Contract & Agreement Management:

Ensure all agreements align with Vietnamese law and international donor requirements (e.g., Gavi, UNICEF, WHO).
Maintain a system for contract tracking and renewal alerts.
Draft, review, and negotiate contracts and MOUs with clients, consultants, funders, and suppliers.

Compliance & Risk Management

Ensure organizational compliance with national and international laws, including labor, tax, data protection (e.g., GDPR), and anti- corruption regulations.
Monitor legal risks and advise management on mitigation strategies.
Conduct legal due diligence for partners and vendors.

Governance & Policy Support

Draft, update, and ensure enforcement of key policies (e.g., Code of Conduct, Conflict of Interest, Ethics, Whistleblowing).
Support the leadership in corporate governance, board compliance, and legal reporting.
Support the legal setup and maintenance of GaneshAID’s country offices or subsidiaries.

Labor & Employment Law

Ensure compliance with Vietnamese labor law and employment laws in countries where GaneshAID operates.
Draft and review employment contracts and internal HR policies.
Provide legal support on employee disputes, contract termination, and disciplinary matters.

Intellectual Property & Digital Tools

Monitor IP infringements or misuse of GaneshAID tools.
Protect the organization’s IP, including trademarks, copyrights, and software licenses.
Draft and review Terms of Use and Privacy Policies for GaneshAID’s digital platforms (e.g., C2P, PIC, VaxyReach).

Legal Advisory & Representation

Liaise with external legal counsel when necessary.
Represent GaneshAID in legal negotiations or proceedings.
Provide legal guidance to project teams and senior management.

Experience in contract negotiation, labor law, and compliance systems.
Proven at least 5 years of legal experience, preferably in an international NGO, development organization, or multinational firm.
Ability to work in multicultural teams and fast- paced environments.
Fluency in French is an asset.
Bachelor&039;s degree or higher in Law (LL.M or equivalent) with specialization in international law, business law, or nonprofit law.
Familiarity with digital law and data privacy issues.
Strong legal drafting and negotiation skills.
High ethical standards and sound judgment.
Fluency in English is required.
Familiarity with donor- funded projects (e.g., Gavi, USAID, WHO, UNICEF) is a strong asset.
Excellent organizational and risk assessment skills.

One- year contract with potential extension based on the working performance;
